Geachte Witte,

"In the next few days we will be pre-announcing our second quarter revenues, and today we are pleased to provide you with the following corporate update:
"This year 2004 has been a pivotal and dynamic year for CirTran Corp. We are very close to completing the restructuring of the company's balance sheet, negotiating and settling most outstanding debt. We have established multiple strategic alliances with our ever growing customer base including our minority investment and exclusive manufacturing agreement with Broadata Communications. We have seen increased interest in our wholly-owned subsidiary Racore Technology Corporation from multiple United States and International Government Agencies. In June of 2004, we formed a new subsidiary, CirTran-Asia, an Asian based manufacturer of various consumer products in the electronics, household products and fitness industries. With these foundations in place, myself and management believe 2004 will end with record revenues and we anticipate that revenue growth to continue in 2005.

The IRS Settlement was the Missing Piece of the Puzzle for Balance Sheet Restructuring
SALT LAKE CITY--(BUSINESS WIRE)--Nov. 22, 2004--Iehab Hawatmeh, President and CEO of CirTran Corp. (OTCBB:CIRT - News) gladly announces that CirTran's offers in compromise have been accepted by the Internal Revenue Service on November 5th, 2004. The acceptance by the IRS means that CirTran has reached a basis of settlement of all of outstanding federal tax liabilities. Once CirTran makes the required settlement payment timely, the settlement will be satisfied.
According to the IRS, approximately $2,300,000 was owed to the Internal Revenue Service as of September 30, 2004. The Company, in response to collection notices, filed a due process appeal with the Internal Revenue Service's Appeals Office. The appeal was resolved by an agreement with the Appeals Office that allowed the Company to file an offer in compromise of all federal tax liabilities owed by the Company based on its ability to pay. The Company filed its offer in compromise with the IRS in November 2003, and after meeting with IRS personnel, filed a revised offer in compromise on August 31, 2004. The Company was just notified in November 2004 that the IRS had accepted the offer in compromise. Under the offer, the Company is required to pay $500,000 no later than February 3, 2005. Additionally, the Company must remain current in its payment of taxes for 5 years, and may not claim any NOL's for the years 2001 through 2015, or until the Company pays taxes in an amount equal to the taxes waived by the offer in compromise.
Further, the Utah State Tax Commission has entered into an agreement to allow the Company to pay the liability owing to the State of Utah in equal monthly installments of $4,000 over a two-year period running through December 2005.
Mr. Hawatmeh further commented, "The company overall is doing very well and in accordance with the company's overall business plan, sales are up and have consistently continued to increase each quarter throughout 2004. The company's backlog is at a historical high. The company's debt is at a record low for the year. The IRS settlement was the missing piece of puzzle to enable the company to successfully start on the restructuring of the balance sheet and get back on track for a plan to meet the required shareholders equity for a different market. The company's two wholly-owned subsidiaries, Racore Technology Corp. and CirTran-Asian, Inc. have consistently demonstrated increased client base and market share year to date. Moving forward towards the end of the year, management strongly anticipates CirTran's short and long term goals to be met with great success."

Asian Strategy Paying Off
In mid-2004, CirTran created CirTran-Asia as a wholly owned subsidiary based in ShenZhen, China, to focus on manufacturing high-volume consumer and consumer electronics products, such as those advertised on TV and in infomercials.
"Our Asian strategy is paying off," said Trevor M. Saliba, executive vice president for worldwide business development of both the parent and subsidiary companies. Iehab J. Hawatmeh, founder, president and CEO of CirTran, said the contract is with Emson, Inc., a division of E. Mishan & Sons, Inc., of New York City, to be the exclusive manufacturer of the Hot Dog Express, which will be sold nationwide on TV, primarily through via infomercials. He said the contract runs through 2007, with minimum revenues to CirTran of $1.8 million per year, or $5.4 million over three years.
Mr. Hawatmeh said that, "being awarded this contract continues an exciting period of growth for CirTran into the new year." A week ago CirTran announced that it will report substantial growth when it files its 10-KSB with the Securities and Exchange Commission (see "CirTran Sites New Consumer Manufacturing Business for 'Dramatic Increases' in Q4 and 2004 Year-end Results," Business Wire, January 14).
"CirTran's strategy of building high-volume consumer and consumer electronics products, such as the Hot Dog Express, in Asia to complement our core IT manufacturing business in the U.S., is continuing to pay dividends," said Mr. Hawatmeh. He said that in the second half of fiscal 2004, ending December 31, some two-thirds of CirTran's revenues came from its Asian subsidiary, while its domestic business grew as well.
Manufactured by CirTran-Asia
"Everybody loves hot dogs," Mr. Hawatmeh said, "and we think this staple of American life will taste even better when they're cooked on the Hot Dog Express."
A small consumer electronics appliance, the Hot Dog Express includes an electric rotary grill and a section grill to cook hot dogs, buns, hamburgers, vegetables, shrimp, and other foods. It will be manufactured in China by CirTran-Asia, the wholly-owned, ShenZhen-based subsidiary of CirTran Corporation.
"Emson is a well-known company with a strong track record marketing products on TV and in infomercials," Mr. Hawatmeh said. "CirTran is very proud to have won this contract from an industry leader. It will have a very positive effect on our revenue projections for 2004, and will also help to put CirTran in a highly-favorable position with potential customers, particularly those wanting to manufacture high-volume, low-margin products off shore."
'Quality Operation, Quality Product
Mike Ackerman, vice president of New York City-based Emson, said CirTran was awarded the contract to manufacture the Hot Dog Express "because it has a quality operation and produces quality products.
"Emson has been impressed by the manufacturing wherewithal of Mr. Hawatmeh here in the U.S., also with Charles Ho, who heads CirTran operations in China," he said. "We look forward to a successful relationship and taking the Hot Dog Express to market in America this Spring."

CirTran Corp. Awarded Record $22 Million Contract to Manufacture Sold-on-TV Product for Advanced Beauty Solutions
Wednesday February 23, 8:30 am ET
SALT LAKE CITY--(BUSINESS WIRE)--Feb. 23, 2005--CirTran Corp. (OTC BB: CIRT - News), an international full-service contract manufacturer of IT, consumer and consumer electronics products, announced today that it has been awarded the largest contract in its history.
Iehab J. Hawatmeh, CirTran's founder, president and CEO, said the contract signed with Advanced Beauty Solutions, LLC, of Los Angeles, is expected to generate $22 million in revenue over the next 12 to 14 months. CirTran, he said, will be the exclusive manufacturer of the "True Ceramic Pro - Flat Iron Traveling Kit," a popular consumer electronics product sold nationwide on TV via infomercials.
Hawatmeh said the $22 million contract was "by far the largest ever for CirTran.
"The start of 2005 has been very exciting for CirTran," he said, noting that last month the company announced another major consumer electronics manufacturing contract (see "CirTran Cuts the Mustard with $1.8 Million Contract to Manufacture the New Sold-on-TV 'Hot Dog Express,'" Business Wire, Jan. 24), after previously announcing that it anticipates reporting substantial growth when it files its 10-KSB with the SEC in March (see "CirTran Sites New Consumer Manufacturing Business for 'Dramatic Increases' in Q4 and 2004 Year-end Results," Business Wire, Jan. 14).
To Be Manufactured by CirTran-Asia
The True Ceramic Pro - Flat Iron Traveling Kit, which includes the "True Ceramic Pro - Infra Red Ionic Styler" to straighten naturally curly hair, will be manufactured in China by CirTran-Asia, the wholly owned, ShenZhen-based subsidiary of CirTran Corp.
"Our strategy to build high-volume consumer and consumer electronics products in Asia to complement our core IT component manufacturing business in the U.S is continuing to pay off," said Hawatmeh. In the second half of fiscal 2004, ending Dec. 31, he said, some two-thirds of CirTran's revenues came from its Asian subsidiary while its U.S.-based business grew as well.
"Winning this contract from Advanced Beauty Solutions, a very successful consumer electronics marketing company, is a major feather in CirTran's cap," said Trevor M. Saliba, the company's executive vice president for worldwide business development. "It significantly raises our revenue projections for 2005, and should put CirTran in a highly favorable position with potential customers, particularly those with higher-volume, lower-margin products usually manufactured off shore."

The digital video recording company added about 698,000 subscriptions in the fourth quarter. Of these, about 447,000 were TiVo subscriptions with DirecTV satellite TV service.

DNAPrint genomics, Inc. (OTCBB: DNAP - http://finance.yahoo.com/q?s=DNAP.OB ) DNAPrint genomics, Inc. today announced the introduction of its new DNAWitness(TM) testing kit utilizing the Company's proprietary DNAWitness(TM) forensics technology for the law enforcement market, the only testing method available with predictive capability that can identify the percentage of a person's genetic makeup.
"The kit is a natural progression of the Company's DNAWitness(TM) testing service, which previously was only performed at DNAPrint's Sarasota laboratory, and will enable forensics experts to conduct their own tests in their own facilities," stated Richard Gabriel, the Company's President and Chief Executive Officer. "We anticipate that by making DNAWitness(TM) directly available to law enforcement agencies, the kit will lead to more rapid integration of our technology into the global forensics market and we expect it to be a significant revenue source for the Company. At the same time, we will continue to build on our established DNAWitness(TM) custom services at our own facilities to clients who prefer to outsource their DNA laboratory work."
DNAWitness(TM) forensics technology analyzes DNA recovered at a crime scene and provides the percentage of Bio-Geographical Ancestry (BGA) makeup among four possible genetic groups -- Sub-Saharan Africa, Native American, East Asian and Indo-European, narrowing the list of potential suspects that investigators are seeking in connection with a crime.
"The kit puts the power of DNAPrint's forensics technology directly into the hands of local crime scene investigators," stated Zach Gaskin, DNAPrint's Technical Coordinator of Forensics. "It also is a valuable time- and cost- saving investigative tool because it reduces the number of false leads that detectives normally would have to chase. In addition, many forensics laboratories want to keep control of their crime scene samples in order to maintain a chain of custody for evidence in order to reduce challenges in court."
The kit, officially introduced on Tuesday at the American Academy of Forensic Science meeting in New Orleans, La., is the first of its kind developed for the consumable test kit market and contains all of the reagents and protocols required for forensics laboratories around the world to perform their own ancestry analysis. Proprietary on-line software systems provided by DNAPrint(TM) are expected to enable investigators to interpret their results and relate them to the likely anthropometric (physical) features of a would-be suspect by referencing DNA samples to DNAPrint's proprietary ancestry databases.
The DNAWitness(TM) kit can be utilized on capillary electrophoresis (CE) instruments commonly found in forensic and university laboratories. Starting this week, the kit will be entering beta testing at select forensics laboratories. After the testing phase, which is expected to take three to four months, the Company intends to build an inventory of kits for its distributor network and its own sales force for sale to the forensics market. The Company's testing services are available for the screening of a large number of samples or individual samples, until and even after the kit is available; investigators, forensic scientists and medical examiners need not wait until the kit is available to access this powerful new technology.
DNAPrint(TM) introduced DNAWitness(TM) technology to the law enforcement community in early 2003 and immediately gained national attention when it was credited with assisting in the apprehension of a suspected serial killer in Louisiana. It currently is aiding law enforcement agencies in more than 80 criminal investigations in the United States, United Kingdom, Australia and Canada.
CirTran Corp. (OTCBB: CIRT - http://finance.yahoo.com/q?s=CIRT.OB ) CirTran Corp., an international full-service contract manufacturer of IT, consumer and consumer electronics products, announced today that it has been awarded the largest contract in its history.

SALT LAKE CITY--(BUSINESS WIRE)--March 14, 2005--The people working on production for CirTran-Asia, the Chinese subsidiary of CirTran Corporation (OTCBB: CIRT - News) in ShenZhe may not know that this is St. Patrick's Day week, but as far as the company is concerned, it's "green for go" at its factories there.

CirTran, an international full-service contract manufacturer of IT, consumer and consumer electronics products, said production has begun on its $22 million contract for the "True Ceramic Pro - Flat Iron Traveling Kit," a popular consumer electronics product (see "CirTran Corporation Awarded Record $22 Million Contract to Manufacture Sold-on-TV Product for Advanced Beauty Solutions," Business Wire, February 23).
Trevor M. Saliba, CirTran's executive vice president for worldwide business development said the first 10,000 units of the flat iron will be completed this week, "with more than $1 million in production completed by the end of March.
"I just returned from China with Iehab J. Hawatmeh, the founder, president and CEO of CirTran," he said. "We are happy to report that production there is going full steam ahead, and that the first Flat Irons come off the assembly line without any problems."
CirTran's contract with Advanced Beauty Solutions, LLC, of Los Angeles, is to be the exclusive manufacturer of the popular sold-on-TV consumer electronics product. He said the contract is expected to generate $22 million in revenue over the next 12 to 14 months.
Mr. Saliba also said that production is continuing on the Hot Dog Express(TM) another sold-on-TV consumer electronics product (see "CirTran Cuts the Mustard with $5.4 Million Contract to Manufacture the New Sold-on-TV 'Hot Dog Express'," Business Wire, January 24).
The contract with Emson, Inc., a division of E. Mishan & Sons, Inc., of New York City, to be the exclusive manufacturer of the Hot Dog Express, runs through 2007, with minimum revenues to CirTran of $1.8 million per year, or $5.4 million over three years.
Manufactured by CirTran-Asia
Both the True Ceramic Pro - Flat Iron Traveling Kit, which includes the "True Ceramic Pro - Infra Red Ionic Styler" to straighten naturally-curly hair, and the Hot Dog Express, are being manufactured in China by CirTran-Asia, a wholly-owned subsidiary of CirTran Corporation.
"CirTran's strategy to build high-volume consumer and consumer electronics products in Asia to complement our core IT component manufacturing business in the U.S, is working and paying off," said Mr. Hawatmeh.
In the second half of fiscal 2004, ending December 31, Mr. Hawatmeh said that some two-thirds of CirTran's revenues came from its Asian subsidiary, while its U.S.-based business grew as well.

SALT LAKE CITY, Mar 16, 2005 (BUSINESS WIRE) -- Racore Technology, Inc., a subsidiary of CirTran Corporation (OTCBB:CIRT), announced today that it has continued to add to its list of new customers with an initial order from Communications Supply Corporation of Carol Stream, Illinois.
Trevor M. Saliba, executive vice president for worldwide business development of CirTran, said Racore received an order for M8190A Fiber Optic Fast Ethernet Network Adapters with VF-45 Fiber Connectors.
The adapters were built by Racore at CirTran's 40,000-square foot manufacturing facility in Salt Lake. Racore was acquired by CirTran, an international full-service contract manufacturer of IT, consumer and consumer electronics products, in 1998.
The adapters were shipped to Communications Supply's customer, Computer Cable Connection of Bellevue, Nebraska, for their customers in the education market. Computer Cable Connection is a network integrator who provides services and products to build, manage and enhance telecommunications and computer network infrastructures.
Racore a 3M 'Reference Vendor'
Mr. Saliba said Racore has been a partner in the 3M(R) Volition fiber optic products since 1997, but that earlier this year 3M moved its market focus away from network adapters and switches to concentrate on the fiber optic cable and connector business. Racore, he said, remains a 'referenced vendor' of network cards on 3M's Web site (www.3m.com/market/telecom/enterprise/volition/system/ network_switches.jhtml). (Due to its length, this URL may need to be copied/pasted into your Internet browser's address field. Remove the extra space if one exists.)
"Racore sees this order from Communications Supply as potentially being the beginning of increased sales opportunities for these products, particularly as Racore continues to support 3M Volition users, and other vendors show a lack of ability to support their Volition products in current and new operating systems," Mr. Saliba said. He said future orders could come from a variety of distributors, depending upon whether the card is to be pre-installed in a new workstation, or replace a card in an existing workstation.
"Gaining a new customer is always exciting, and knowing that our adapters will be used in the educational system by students and teachers is, quite frankly, very rewarding," said Mr. Saliba. "We welcome Communications Supply Corporation to Racore's growing customer list and look forward to serving the company and its customers in the future

SALT LAKE CITY--(BUSINESS WIRE)--April 5, 2005--CirTran Corporation (OTCBB:CIRT - News), an international full-service contract manufacturer of IT, consumer and consumer electronics products, announced today that its modern 40,000-square-foot manufacturing facility - the largest non-captive in the Utah-Nevada Intermountain Region - has earned the prestigious ISO 9001:2000 certification.
"Being ISO 9001:2000 certified means CirTran's Quality Management System is world-class and has met the exacting standards set by the International Organization for Standardization (ISO)," said Iehab Hawatmeh, the company's founder and president.
"While everyone at CirTran is very proud that we are ISO 9001:2000 compliant," he said, "what is most important here is how we can now be viewed by our customers. It tells them that CirTran is committed to quality, focused on their needs, ensures that we have adequate resources and a trained and capable staff, and that our entire process - from procurement to shipping - is top of the line."
Patrick L. Gerrard Sr., director of Quality Systems for CirTran, praised Mr. Hawatmeh and Shaher Hawatmeh, the company's COO, "for their focus and leadership in gaining the certification.
"For more than two years CirTran has rededicated itself to providing only the highest quality and service to our customers," he said. "As fourth and fifth generations of Kiazen (continuous improvement) projects grounded in LEAN and Six Sigma methodologies continue and mature, it is our goal that the quality achieved by CirTran will be unsurpassed."
'Incredible First Quarter'
The ISO 9001:2000 certification is part of what Mr. Hawatmeh called "a truly incredible fist quarter" for CirTran, including
- Winning more than $30 million contracts for work in Utah from major companies, including Lockheed Martin Corporation (NYSE: LMH - News), Flextronics (NASDAQ: FLEX - News), Nortel(TM) (NYSE: NT - News) and Linux Networx(TM), and for CirTran-Asia, including exclusive contracts to manufacture sold-on-TV consumer electronics products, and
- Successfully negotiating a settlement with the IRS and a subsequent conversion of $2.5 million debt-to-equity, significantly impacting the overall financial strength of the company's assets and net equity,
"Now, with the largest manufacturing facility in the Intermountain Region ISO 9001:2000-certified, we look for even bigger and better things ahead," Mr. Hawatmeh said.

SALT LAKE CITY--(BUSINESS WIRE)--April 15, 2005--CirTran Corp. (OTCBB: CIRT - News), an international full-service contract manufacturer of IT, consumer and consumer electronics products, today filed Form 10-KSB for the year ended Dec. 31, 2004, reporting a 629% increase in sales and a 77% reduction in losses as compared with the previous year.
CirTran reported net sales of $8,862,715, an increase of 629% as compared with sales of $1,215,245 for fiscal 2003. The company also reported a 77% reduction in losses to $658,322 from $2,910,978 reported for fiscal 2003.
CirTran also showed a 98% increase in total assets, reporting corporate assets of $4,293,429 as compared with $2,169,834 a year ago. In addition, the company reduced total shareholders' deficit by 54%, reporting $2,242,033 as compared with $4,915,215 in its fiscal 2003 filing.
"Substantial Growth and Re-emergence"
"By any and all measures, 2004 was a period of substantial growth and re-emergence for CirTran," said Iehab Hawatmeh, the company's founder and president. "Everyone at CirTran went about the business of working hard to increase sales while reducing liabilities and keeping a watchful eye on operating expenses according to plan. Those efforts -- and we believe similar positive results -- have continued into fiscal 2005," he said.
CirTran "won more than $30 million (annualized) in contracts in the first quarter of 2005, led by the continued acceptance of our new CirTran-Asia subsidiary as a 'player' in building consumer electronics and sold-on-TV products in China," said Hawatmeh. He also said that CirTran's core business in the United States "has continued to improve in keeping with the general improvement in the domestic IT marketplace.
"The early years of the new millennium were very difficult for the IT industry here at home and around the world," he said. "Many companies -- some many times larger than CirTran -- were brought to their financial knees or just disappeared. I believe CirTran and our Racore Technology have re-emerged from these troubled times in good position to conduct business in the U.S., along with our Asian subsidiary."
Hawatmeh said that the company has continued to make substantial progress into 2005, including converting $2.5 million in debt to equity and paying off a negotiated settlement with the Internal Revenue Service, "improving CirTran's overall financial position by approximately $4 million.
"CirTran," he said, "also continued to make moves with immediate and long-term financial benefit" earlier this week when it purchased its 40,000-square-foot office and manufacturing facility for $2.05 million, including $1 million in restricted (for two years) stock at $.05 per share and assumption of a note for $1.05 million. Hawatmeh said the building, which has been CirTran's headquarters since 1996, has been appraised for more than $2.2 million.

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--April 18, 2005--Aegis Assessments, Inc. (OTCBB:AGSI - News) announced today that it has contracted to develop the next generation SafetyNet(TM) RadioBridge(TM) with new features for enhanced performance with CirTran Corporation (OTCBB:CIRT - News). CirTran Corporation is a full-service electronics contract manufacturer and has an ISO (International Organization for Standardization) 9002 registration.
The SafetyNet(TM) RadioBridge(TM) interconnects incompatible radios and bridges them to provide radio interoperability at an emergency site in a matter of minutes. The enhanced version features improvements in the sound quality of audio transmissions, the addition of an internal storage compartment for cables, headsets and other accessories, and improved bridging of trunked and non-trunked radios.
Communications interoperability among first responders is a high priority for the Department of Homeland Security (DHS), which manages Project SAFECOM, the overarching umbrella program within the federal government that oversees all initiatives and projects pertaining to public safety communications and interoperability for approximately 50,000 public safety agencies in the United States, including 18,000 state and local law enforcement agencies, 26,000 fire departments, 6,000 emergency medical responders and several thousand utility and infrastructure public agencies.
There are different types of systems currently available that provide radio interoperability. The first is patchwork interoperability, where radios are connected through a system such as the SafetyNet(TM) RadioBridge(TM). The patchworking idea has support inside Project SAFECOM but DHS officials do not have a cost estimate for the nationwide deployment of patching systems. JPS Communications, a unit of Raytheon Corporation (NYSE:RTN - News), has estimated that patchwork interoperability, the kind of system sold by Aegis and JPS, could be accomplished nationwide for approximately $350 million. Patchworking devices allow public safety agencies to use their existing radio systems to temporarily integrate their communications with other agencies in any location in the country without the cost of building additional infrastructure.
Other proposed solutions to radio interoperability include the standards-based shared systems that encompass different radio systems working on a shared infrastructure, with various agencies working on their own frequencies and being able to switch to a shared network. Companies promoting standards-based shared systems include Motorola, Inc. (NYSE:MOT - News), which is the market leader in providing two-way radio services to public safety, transportation, utility and government enterprises in the United States. Estimates for implementation of a national emergency radio system run as high as $18 billion.
About Aegis Assessments, Inc.
Through the SafetyNet(TM) line of products, Aegis Assessments, Inc. (OTCBB:AGSI - News) provides wireless security solutions to public safety agencies and commercial security companies for homeland security and life safety applications. Integrating emergency and life safety systems available to the public and private sectors is the new challenge in homeland security that the company's products and technologies address.

CirTran Founder, President and CEO Iehab J. Hawatmeh said the company will report sales of approximately $2.93 million for the first quarter, up 353% over the $645,612 reported for the same period a year ago.

He said that during the first quarter, CirTran-Asia received contracts for more than $30 million (annualized) in new business to be the exclusive manufacturer of consumer and consumer electronics products for the infomercial industry.
"CirTran's record start to 2005 followed a very strong fourth quarter of 2004," said Hawatmeh. "It also continued CirTran's fiscal revival, which was demonstrated in our 10-KSB filing for 2004 a week ago in which we reported a 629% increase in sales and a 77% reduction in losses for the year, as compared with 2003."

Saliba said that the total of the new manufacturing contracts won by CirTran is approximately $60 million (annualized).

"Repeat Business Very Rewarding"
"Getting repeat business with a giant international company -- not totaling more than $44,000 over the past four months -- is very rewarding and fulfilling," said Trevor M. Saliba, CirTran's executive vice president for worldwide business development.
"Even more than most, Lockheed has many choices when it comes to picking and choosing companies with which it wants to do business. "With this confidence in our ability," he said, "our customers have the comfort level to make the sales commitment on an annual basis, which allows CirTran to secure larger, ongoing contracts and gives us the ability to plan for manpower, supplies, and cash flow."
Hawatmeh also discussed how CirTran-Asia, a wholly owned subsidiary, recently won a $30 million contract to be the exclusive manufacturer of a new fitness machine for the sold-on-TV direct response industry.
"This was the third major exclusive contract for CirTran-Asia in the first four months of 2005," he said, "bringing the total of new contracts won to approximately $60 million (annualized)." SALT LAKE CITY--(BUSINESS WIRE)--June 1, 2005--CirTran Corporation (OTCBB:CIRT - News), an international full-service contract manufacturer of IT, consumer and consumer electronics products, today announced the successful negotiation and completion of the latest step in its strategic financial plan, resulting in a major cash infusion for operations while cutting interest payments by more than half.
Iehab J. Hawatmeh, CirTran's founder and president, said the company issued a $3.75 million convertible debenture to Highgate House Funds, Ltd., of New York City. With funds received, he said, CirTran paid off $1.7 million and $565,000 notes to Cornell Capital Partners LP, satisfying its obligations to Cornell.
"As a result of this transaction, CirTran gains a net cash infusion of approximately $1.24 million, to be used to fund our growing operations in the U.S. and China," Mr. Hawatmeh said. "CirTran will also realize a savings of $254,000 - more than 57% - in annual interest payments," he said, noting that the $1.7 million note to Cornell had been at 24% and the lesser note at 6% interest, respectively.
"Having additional capital and our interest payments very substantially reduced continues the financial turnaround that saw CirTran report positive EBITDA of $26,518 and positive shareholder equity for the first quarter of fiscal 2005 in its 10-Q filing with the SEC last week," he said.
CirTran, he said, can redeem the debenture, which bears interest at 5%, at any time for 105% of the payment due. When the registration is declared effective by the SEC, Highgate can convert up to $250,000 worth of the principal amount, plus accrued interest, at market price in any consecutive 30-day period when CirTran stock is $0.10 per share or less at the time of conversion, and up to $500,000 worth of principal, plus interest, at $0.10 per share in any consecutive 30-day period when the market price of CirTran stock is higher than $0.10 at the time of conversion.

Mr. Hawatmeh said CirTran will withdraw the registration statement currently being reviewed by the SEC regarding shares to be issued to Cornell. In addition, he said that CirTran will receive more than 38 million of its shares currently held in escrow by Cornell in connection with the previously-outstanding notes, and that CirTran will not issue any additional shares of common stock to Cornell with relation to the equity line or SEDA.

"CirTran is now moving full-steam ahead in accordance with our overall business plan," said Mr. Hawatmeh, referring to the announcement earlier this week of the $3.75 million convertible debenture issued to Highgate House Funds, Ltd., of New York City, which allowed CirTran to pay off and completely satisfy all outstanding obligations to Cornell.
"As a result of the transactions, CirTran has gained $1.24 million in additional cash infusion to fund our growing operations in the U.S. and China, and also saves approximately $254,000 - more than 57% - in annual interest payments previously made to Cornell at far higher rates than now negotiated," he said.
Mr. Hawatmeh said the additional working capital and lower interest payments "continue the financial progress being made by CirTran, as shown in our 10Q filing last week when we reported positive EBITDA and positive shareholder equity for the first quarter of fiscal 2005."

"On or Ahead of Strategic Plan"
Mr. Hawatmeh said that CirTran was "on or ahead of our strategic plan. Mr. Hawatmeh said CirTran's record first half of 2005 followed a strong quarter for the company and an "overall fiscal revival in 2004."

"As stated in a shareholder update a month ago," Mr. Hawatmeh said, "all corporate managers continue to hold their shares in CirTran, looking forward to a brighter tomorrow when the company's share price and market value is more reflective of the financial and business renaissance we've realized over the past year and a half."
